Abstract (EN)
Shareholders exercise their right to vote by attending the general assembly of the joint stock company. Thus, the shareholder expresses will regarding certain works and transactions related to the company. As a result of exercising the right to vote, indirect participation in the management of the company is ensured. The Turkish Commercial Code and the Capital Markets Law foresee the freezing of shareholders' voting rights in certain cases. In this study, the situations in which the right to vote is frozen will be examined.
