Abstract (EN)
As stated in the TCC Article 331, joint stock companies can be established for any economic purpose and subject that is not prohibited by law. Since the purpose of establishment is to obtain an economic benefit and interest, it is also possible for shareholders who want to participate in the partnership to commit in-kind capital elements as capital to the company. At this point, real estate, which is in the nature of in-kind capital, can also be committed as capital by those who want to become shareholders. The commitment of real estate ownership to joint stock companies as in-kind capital is subject to some special regulations, such as the fact that there is no official form requirement, the condition of annotating the land registry in order to be accepted as in-kind capital and the fact that the real estate ownership does not contain any restrictions, as will be explained in detail below. In our thesis study, we will examine the process of committing real estate ownership, which is an in-kind capital element, to the joint stock company, and the points that are exceptionally different from the general rules regarding the transfer of real estate ownership during the commitment phase; We have discussed the provisions and consequences of this commitment, what the work and transactions that need to be done are in order to transfer the ownership to the joint stock company, which is a savings transaction in order to fulfill the capital element in kind that is committed as capital, and what steps need to be followed.
