Legal liability of board members in joint stock companies

This thesis, which deals with the subject of "Legal Liability of Board Members in Joint Stock Companies", was prepared as a master's thesis in Dicle University, Institute of Social Sciences, Department of Private Law. The concepts that are the subject of the thesis work appear as important reforms in terms of commercial law. It is possible for the members of the board of directors, who hold the management and representation authority of the joint stock company, to act in violation of these while fulfilling their duties and obligations. Therefore, it arises as a result of the fact that the members of the board of directors are faced with a number of legal sanctions in order to fulfill their obligations of attention and care, based on the possibility that these infringing behaviors may cause damage to the assets of the company, company shareholders or company creditors. On the one hand, the legislator aims to direct the managers to act with care, and on the other hand, to hold responsible those who cause possible damages. This thesis consists of three main parts. In the first part of the study, "Board of Directors in Joint Stock Companies" is explained in general, in the second part the concept of "Legal Responsibility of the Members of the Board of Directors in Joint Stock Companies" is explained and the situations that may cause liability are evaluated, in the third part, the terms and characteristics of the concept of "Liability Litigation" are discussed. In this thesis; In the light of scientific studies, different views in the doctrine, and high court decisions, an examination and evaluation was made.
