Abstract (EN)
In the first chapter of our thesis firstly we will discuss the term board of directors of joint-stock company; then organizing of the member of board and qualifications, rights, duties, competences of board members under the 6102 numbered Turkish Commercial Code. In the second chapter, we will consider the legal liability of members of board of directors of the joint-stock company. First of all we will evaluate the situations that caused legal liability of members of board of directors one by one, then, under general provisions. In the last chapter, general provisions about legal liability of members of board of directors under the 6102 numbered Turkish Commercial Code will be disscussed.
