Power of attorney members of executive board in joint-stock companies

Board of management is a represantative for joint stock company to the third people. Board of manegement is legal representative of joint stock company. For this reason it has to became the owner at every legal transaction whitin written-point limitation foundation agreement. And has to become the owner corporate name to use. This situation has been clearly settled with the clause of TTK 317 and its following.This thesis consists of four main chapters.I try to examine authority to act for represent in general in first part. This thesis is included authority to act for represent, its aim, lowful quality and its varieties. I examine authority of commercial corporations in general at second part. I try to examine authority of joint stock company with details in third part. Finally in the last part we examine the authority to act for represent how to taken up in New Turkish Commercial Draft Law.My thesis ends with the direction of fixing and cualuation about topic.
