Establishing corporations in European Union and such procedures in Turkey

Corporations are special establishments that are created by the union of two or more (legal) entities working for a common goal by combining their efforts and capitals. Corporations come to life when they are enlisted in the official commercial record. They grow, diverse, expand or reduce their capitals according to the fluctuations in the commercial markets. One of their goals is adapting to the changing and growing economical conditions. During such adaptation procedure, EU (European Union) countries have created various region-specific regulations. By the recent expansion desicion of EU, more efforts have been made to minimize the incompatibilities in regional legal systems. In efforts to achieve this goal, some instructions and rules have been created.Commercial law appears to be sophisticated, internationally influenced and born according to international needs and grows according to the economical conditions unlike the other law branches which are usually in more domestic appearance. Therefore, simplification of such sophisticated procedures that are required for establishing corporations in EU is important for the improvement of commerce.This study is composed of three chapters. The first chapter discusses about the integration process of EU, subsequently mentioning the community law and sources and finally discussing the regulations and instructions made on corporations law in brief. In the second chapter, after briefly mentioning the establishing regulations of the corporations in EU, the EU regulations commonly agreed are discussed. Finally, third chapter includes the establishment procedure of corporations in Turkey and discusses the stages that have been reached in the scope of compliance process with EU.Keywords; Corporation, European Union, Corporations Law, Turkish Commerce Law
