Abstract (EN)

As well as the limited company manager/s, it is also possible for executive officers and managers assigned to them by internal directive to have management and representation authority. If there is no provision in the partnership contract that prevents the transfer of authority by the manager/board of managers, management and representation authority can be transferred together or separately within the scope of the internal directive. Managers who take over management authority have the qualifications of organs within the scope of the powers they have taken over, and it is possible that the relevant managers can be dismissed or their powers limited, just like the manager/s. In this context, while the manager/s can be dismissed or their powers can be limited by the decision of the general assembly, the powers of the executive directors and managers appointed by the internal directive can be removed or limited by the decision of the manager/s board. On the other hand, TCC art. Within the scope of Article 630/2, it is possible to file a lawsuit requesting dismissal or limitation of authority by the company partners.
