Exclusive distributorship agreement

ABSTRACT In this work prepared as a master thesis, the issue concerning Exclusive Distributorship Agreement is analysed. Within the scope of the thesis, the definition and components of the exclusive distribution agreement, the rights and liabilities of the parties thereof have been examined. "Exclusive distribution agreement is such a continuous agreement having a framework characteristic regulating the legal relations between the producer and the exclusive distributor, with this agreement the producer commits to deliver all or some of its products to a distributor to be exclusive distributor in a certain geographic region and in return the exclusive distributor commits to drive the sales by selling the goods subject scope of the agreement on behalf and account of itself." The components of the Exclusive distribution agreement are comprised of conferring exclusive selling right to the exclusive distributor in a certain territory, being a continuously debt incurring contract between the parties, having the characteristics of a framework contract, integration of the producer with the distribution organization despite the fact that the exclusive distributor acts on behalf and account of itself, and to perform activities driving the sales.
