Gathering and resolution principles of general meeting according to Turkish Commercial Code draft

Limited companies act as a corporation through its corporate bodies. Some corporate bodies of companies are due to legal provisions necessary. By new Turkish Commercial Code Draft, the limited company possesses two corporate bodies: these are general meeting and director/board of directors.Each of bodies, which are mentioned above, has its own sphere of duties, which can?t be transferred to any other body and these bodies can?t permit any other body to encroach upon. This is the main principle of relations between two organs of company: the so called ?Parity Principle?. In first part of this thesis, the position of general meeting in the structure of company and the relation between general meeting and directors are examined.General meeting (with its general meaning) is a gathering of share holders. It is a corporate body creating the corporate will and made up of the owners of the company, who are eligible to vote. In second part of this thesis, the gathering principles of general meeting according to Turkish Commercial Code Draft are mentioned.General meeting isn?t a social meeting of shareholders. Shareholders come together to build the corporate will. Because of this, they or directors submit a motion in meeting. When a motion has been sufficiently explained and discussed, the chairman puts it to the vote. In this phase, general meeting needs rules for resolutions. These rules are quorum requirements. In third part of this thesis, principles of resolutions and quorum requirements according to Turkish Commercial Code Draft are examined.Key Words: General meeting, Gathering, Resolutions, Quorums.
