Rights and duties of the joint venture companies in the jurisdiction systems of Turkey and Ukraine

Rights and Duties Of The Joint Venture Companies in The Jurisdiction Systems Of Turkey And Ukraine, Master?s Thesis, Ankara, 2009Joint Venture companies, which were based with an aim of carrying out great projects and are active in the world, have begun to spread rapidly. Especially with the globalization, when the international bounds are driven out, businessmen have gained a possibility of organize these projects together. The issues we have investigated are rights and duties of the Joint Venture companies in the jurisdiction systems of Turkey and Ukraine. While carrying out the piece, finding out of the similar changes and practises of the systems of the mentioned countries and the information that might be useful in the jurisdiction literature had been determined as the goals.The legal insertions concerning the Joint Venture are present in the both countries. In Turkey, these insertions have been made among the paragraphs of the Law of Duties. Whereas in Ukraine, they have been inserted among the paragraphs of the Civil Law of Ukraine. However, having been founded nearly fifteen years ago with the collapse of the Soviet Union, it cannot be said that Ukraine has reached the legal base completely. Despite, in contrast to the Law of Duties of Turkey, the Civil Law of Ukraine has not stated the insertions profoundly in order to draw foriegn investors. Yet, in case of revelation of gaps in the system, the experience of Turkey can be the light in the ways to fill them.In the part one, after the definition and the historical process of the Joint Ventury, based with the canons of the simple company, an evaluation of the similar foundations has been carried out.In the work, it has been witnessed that in Turkey and Ukraine the sides' rights and duties were quite similar; whereas companions' representation and usage of the companies were different.By clarifying these, the work finishes with the explanation of the differences in the establishment of similar aspects of the sides together with the ending of the Joint Venture companies.Key words1.Joint Venture2.Partnership3.Consortium4.Joint Venture in Ukraine
