The power of attorney is a kind of contract in which the attorney undertakes the dept for a business transaction for the sake of the person extending the power of attorney in accordance with his/her will. This thesis statement in which the attorney's and the client's depts are evaluated within the scope of the power of attorney, one of the business transaction contracts is composed of three main chapters.In the first chapter the definition, elements, characteristics and judicial quality of the power of attorney have been analyzed and then it has been compared with other business transaction contracts and representation.The attorney is a person authorized by the power of attorney to transact on behalf of another person. The attorney's depts on the power of attorney have been scrutinized in the second chapter of this thesis statement.On the power of attorney, the person against the attorney is the client. The client is a person who has himself represented by the attorney; thus he/she appoints another person as an agent. The client's depts on the power of attorney have been scrutinized in the second chapter of this thesis statement.In the conclusion part, the results attained within the scope of this work have been submitted in summary.
