Internal and external relationship in an ordinary partnership agreement

The legal relationships based on ordinary partnership are commonly encountered in our daily lives. The most significant reason is the easiness in establishing an ordinary partnership agreement and the great flexibility provided to the partners. Indeed, when the provisions of Turkish Law of Obligations related to the ordinary partnership agreement are considered, it is seen that the regulations which ground on the freedom of form principal, generally not imperative and prioritize the personal elements stand out. On the other hand, according to the fact that the scope of application of the ordinary partnership agreement is quite wide, the disputes arising from the execution of the said contractual relationship increase in numbers day by day. Hence, during these studies, the fundamental characteristics of the ordinary partnership agreement will be prioritized in first place, then the relations between the partners, which constitute the great number of disputes in terms of the application, will be dealt and the solutions related to the dispute resolutions will be suggested. Finally, in the last section, various evaluations will be made by focusing on the relations of the partners with the third parties, especially on the problems related to the representation.
