Abstract (EN)
Joint-stock companies are merely liable with their assets to their creditors. If creditors are not able to collect their credits from company assets, they cannot refer to partners. Therefore there are various provisions in the Code aiming completely paying in assets to company and preservation of them within the company. Power of disposition on some asset values of the company and its partners is restricted by these provisions. Prohibition of return of capital is one of the settled regulations in joint-stock companies in order to form capital stock completely and to preserve it within the company. With this provision return of capital stock to partners is prevented.
