Abstract (EN)
The fact that the economic scandals, which have been observed in many countries of the world and whose effects have spread over a wide area, have had global consequences has led to the fact that the problems experienced in joint stock companies have become not only an internal problem but also a problem in the country and even a global problem, and therefore, the solutions have emerged as global solutions. This situation has forced countries to make regulations in terms of corporate governance principles in their own legal systems. In our country, many legal regulations have been made regarding corporate governance principles, the foundations of which were laid in 2003. In many countries, corporate governance principles are based on four basic principles: the principle of fairness, the principle of transparency, the principle of accountability and the principle of responsibility. Each country has made comprehensive regulations in its own legal system based on these four basic principles. One of the issues regulated in companies subject to corporate governance principles is general assemblies. In the general assemblies of companies subject to corporate governance principles, there are many different regulations with companies that are not subject to corporate governance principles. In our study, the differences between the general assembly of a joint stock company subject to corporate governance principles and the general assembly of a joint stock company not subject to corporate governance principles are revealed from the perspective of corporate governance principles.
