Abstract (EN)

Today, as an economically important and effective company type in many areas, joint stock companies are managed on the basis of majority vote since they are founded on capital basis. The management of joint stock companies on the basis of majority may conflict with the interests of the groups and the minority who cannot have a say in the management of the company. In order to prevent these conflicts of interest, pursuant to the right of representation, which has reached the legal ground with Article 360 of the TCC ın case is stated in the articles of association, certain share groups, shareholders consisting of a certain group in terms of their qualities and nature, and minorities can be granted the right to be represented on the board of directors. In our study, the right to representation which was referred to as the group privilege before the TCC Numbered 6102 and which has been normatively regulated by Art.360 for the first time will be examined.
