Abstract (EN)

In the changing and transforming world, the competitiveness of companies and the efficiency of management activities are developing in parallel with each other. Therefore, board of directors structure, which can directly affect the financial performance of the companies. For this reason, it is an important issue to measure and reveal the effect of the structure of the board of directors assigned by the shareholders to manage the business on financial performance indicators. In this study, it has been tried to reveal the relationship between the structure of the board of directors and the performance of the financial firm of 397 companies, which are publicly traded and whose shares are traded in Borsa Istanbul, in 2019/12, by using cross-section data analysis (backward method) method. They are classified in two groups as independent variables (structure of the board of directors) and dependent variables (financial performance criteria). The structure of the board of directors; "The number of female members in the board of directors, the head of the women, the total number of board members, the number of independent board members, the number of foreign members in the board of directors, the number of legal person members in the board of directors, ceo duality", management board to be president of the company's partner "as independent variables, while representing the financial firm performance" price-earnings ratio, the market value for book value, earnings per share, net profit margin, return on assets, return on equity and tobe equity q" criteria were included in the analysis as dependent variables. As a result of the regression analysis; A positive and significant relationship was found between the woman head of the board of directors, TQ, ROE, ROA, EPS and MV/BV, the higher number of independent board of directors, TQ, ROE, ROA and MV/BV and the total number of members in the board of directors and EPS has been. In addition, a negative and significant relationship was found between EPS and Ceo Duality with ROE due to the large number of foreign members on the board.
