Abstract (EN)

Intellectual property rights have emerged with the acceptance that the owner of the work has an intangible right on this works, inventions and innovations created by human creativity and intellectual effort.The legal rights on intellectual and artistic works are called copyrights. The rights that a person will have for inventions and innovations related to areas such as industry and agriculture is called industrial property rights. Intellectual property rights, on the other hand, is a top title that comprises these two categories of rights. Due to the fact that we are the in the information age, the importance of intellectual property rights for the economy is increasing day by day. Intellectual property rights have become a crucial weapon in the economic competition that takes place both within and between the countries. Bringing intellectual products to companies as capital is regulated in Article 127 of the Turkish Commercial Code. Pursuant to this regulation, intellectual property rights and rightfully used transferable electronic media, domains, names and signs can be brought to trading companies as capital. However, in order to bring them as capital to the capital companies, besides their ability to be evaluated in cash and transferred, it is also necessary that they do not have limited real rights, attachments and measures. In the articles of association of the company, it is a necessity to find the values of the rights that are included as capital other than money. Therefore, it is necessary to calculate the values of the intellectual property rights committed to capital. Article 143 of the Turkish Commercial Code regulates this situation. In this context, an expert should be appointed to evaluate the intellectual property rights to which capital will be invested in capital companies, the rights committed as capital should be valued. In addition, in order for intellectual property rights to be accepted as capital, they must be registered in their special registers, if any.
