Bringing intellectual property rights to stock companies as capital in kind

Capital is an indispensible element for stock companies. One of the means that can be used to capitalize is intellectual property rights. Intellectual property rights, of which importance has substantially increased with the advancement of technology, will achieve their deserved status in the formation of stock company capital in the upcoming years. Therefore, the title has been determined to be "Bringing Intellectual Property Rights to Stock Companies as Capital In Kind". In the first chapter of the thesis, general information about the concept of intellectual property, characteristics of intellectual property rights, and classification of these rights is provided. Since it is intellectual property right to be brought as capital to stock companies, a differentiation is made between the products/symbols of intellectual property rights and the right itself. Considering their importance, the original and transferred acquisition of intellectual property rights are analyzed in this chapter. In the second chapter, the concept of capital in stock companies is analyzed and the status of intellectual property rights within capital is determined. Next, by discussing the provisions of Turkish Commercial Law in the light of the relevant intellectual property rights legislation, the types of intellectual property rights that can and cannot be invested in stock companies as capital in kind are presented in detail. In the third and final chapter, the inclusion process of intellectual property rights into stock company assets is analyzed. Thus, a distinction is made between the undertaking and disposal stages, and some conclusions are drawn by taking the special qualities of intellectual property rights into account. Finally, the measures that can be taken to ensure the performance of pledged intellectual property rights as capital in kind, the impossibility of performance and the results of non-performance are analyzed by considering various possibilities.
