Abstract (EN)

The main reason for the public disclosure obligation and its existence to date is that investors want to make a profit by making the most of their savings. Investors demand that full information be provided in the capital market they enter to evaluate their savings, and that all transactions in the market are clearly communicated to all business partners. This demand obliged companies in the market to disclosure information to investors, and the economic crises experienced in the historical process and the corruption in company management paved the way for the public disclosure obligation. Therefore, the public disclosure obligation has been accepted as an indispensable principle in the capital markets of the world; it also served as the milestone of the principle of transparency, which is one of the principles of corporate governance. In present-day this obligation, together with the principle of transparency; ensured that information related to the partnership is delivered to the investor in a timely and complete manner, and directly affected the value of the markets. The aim of this thesis is to analyze the public disclosure obligation within the framework of legislation and doctrine, to reveal its effect on markets, and to discuss the link of the public disclosure obligation with principles of corporate governance.
