Obligations of supplementary subscription and additional fulfilment in limited partnerships

In a limited partnership, the partner's primary obligation is to fulfill the debt of capital raising. This obligation is the natural consequence of the structure based on capital. However, the personalized capital partnership structure of the limited partnership may not be satisfied with the debt of investing capital alone, but may also need other obligations. Hence, the Turkish Commercial Code no. 6102 did not refrain from taking a step in this regard and allowed the partners to introduce obligations of supplementary subscription and additional fulfilment stipulated in the partnership agreement. The supplementary obligation of subscription is to pay shareholders in cash aside from the debt of putting capital against the partnership. The supplementary obligation of subscription is an alternative financing instrument in the limited partnership. The obligation of additional fulfilment serves to realize the business subject of the partnership with several obligations for the fulfillment of steps aside from the debt of raising capital against the partnership and possible supplementary obligation of subscription to the partners. obligations of supplementary subscription and additional fulfilment institutions are the institutions in favor of the partnership that supports the continuity, success and growth of the limited partnership with these features. However, because they are foreign to the structure of capital partnership, it is imperative that the boundaries of these institutions be drawn. Obligations of supplementary subscription and additional fulfilment are new institutions, so they should be emphasized and are institutions that will develop over time with judicial decisions and doctrine. In our study, obligations of supplementary subscription and additional fulfilment are scrutinized within the scope of Turkish legislation, legal responsibility in limited partnerships, the single debt principle, and legal effect of partnership rights have been considered.
