Abstract (EN)

Joint stock companies, as one of the capital companies, are a type of company that is frequently preferred due to the limited liability of the shareholders, the right to receive dividends and the ease of transferring the shares. The limited liability privilege, which encourages participation in joint stock companies, left the responsibility solely to the corporate legal entity. The sole source of reference for all stakeholders of the company is company assets. For this reason, the issue of legal protection of joint stock company assets has come to the agenda. Continental Law and American Law have radically different approaches to the need for legal protection of property. In this regard, it is important to examine the development stages and approaches of the Continental European Law and American Law systems, which have different historical developments, in terms of gaining a perspective for the future. In Continental European law, including Turkish law, the legal protection of a joint stock company's assets serves to protect all interest groups of the company. Many provisions regarding the legal protection of joint stock company assets are included in Turkish law and in German and Swiss law, which is of origin. For this reason, the examination of the provisions protecting the assets and the judicial decisions in this direction will enable the evaluation of the protection of company assets in joint stock companies law.
